Terms of Service

These Terms of Service (the “Terms”) govern your use of the website at springrock.ai and of the software products operated by Springrock Ventures LLC (“Springrock”, “we”, “us”): Finvo (finvo.dev, usefinvo.com), Statify (statify.me) and The Dolla Bin (thedollabin.com), together the “Services”.

By creating an account or using any of the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility and accounts

You must be at least 18 years old, or the age of majority where you live, to use the Services. You are responsible for the accuracy of the information on your account, for keeping your login credentials secure, and for all activity that happens under your account. Tell us promptly if you believe your account has been accessed without your permission.

If you use a Service on behalf of a company or other organisation, you confirm that you are authorised to accept these Terms on its behalf.

2. Subscriptions, billing and trials

Our products are offered on paid subscription plans, and in some cases a free plan. Current plans and prices are shown on each product page on this website and inside the product itself.

  • Payment processing. Subscription payments are processed by Stripe, Inc. We do not receive or store your full card details.
  • Recurring billing. Paid subscriptions renew automatically at the end of each billing period — monthly or annually, as selected — at the then-current price, until cancelled.
  • Free trials. Where a free trial is offered, its length is stated at sign-up. Unless you cancel before the trial ends, the subscription continues as a paid plan.
  • Cancellation. You may cancel at any time from your account. Your plan remains active until the end of the period you have already paid for.
  • Price changes. We may change our prices. We will give you at least 30 days' notice by email before a change affects your renewal, and you may cancel before it takes effect.
  • Taxes. Prices are exclusive of any applicable sales tax, VAT or similar, which will be added where required.
  • Failed payments. If a payment fails we may retry it and may suspend or downgrade your access until it succeeds.

Our refund and cancellation terms are set out in the Refunds & Cancellation Policy, which forms part of these Terms.

3. Your content

You keep ownership of everything you upload or create in the Services — invoices, expense records, listings, images, connected-account data and anything else. You grant us a limited licence to host, store, process and transmit that content solely so that we can operate and support the Services for you, and, where you have chosen to make content public, to display it.

You are responsible for your content being lawful and for having the rights to use it.

4. Acceptable use

You agree not to:

  • use the Services to break the law or infringe anyone else's rights;
  • upload malware, or attempt to gain unauthorised access to the Services, our infrastructure or another user's account;
  • interfere with or place unreasonable load on the Services, including through automated scraping outside a documented API and its rate limits;
  • resell or redistribute the Services without our written permission;
  • misrepresent who you are, or list items you do not have the right to sell.

We may suspend or terminate accounts that breach this section.

5. The Dolla Bin marketplace

The Dolla Bin is a listing and discovery platform for records. It is important that you understand the following:

  • Sales are agreed directly between the buyer and the seller. Springrock is not the seller of any record listed on the platform and is not a party to the sale contract.
  • Sellers are responsible for describing items accurately, including condition and grading, and for delivering what they have sold.
  • Buyers and sellers are responsible for their own tax obligations, and for resolving disputes between themselves. We may assist, and we moderate listings and review reports, but we cannot guarantee any transaction.

5.1 How payment for a record is made

There are two ways a sale can be paid for, and which one applies depends on the seller:

  • Direct settlement (default). Where a seller has not connected a Stripe account, the buyer and seller arrange payment between themselves. Springrock does not process, hold or transmit those funds and takes no fee on them.
  • Buy Now via Stripe Connect (optional). A seller may choose to connect a Stripe account. Their listings then display a “Buy Now” button and the buyer pays by card through Stripe. Funds are settled to the seller's own Stripe account, and Springrock deducts a platform fee of 3% of the sale amount. Sellers using this option are additionally bound by Stripe's Connected Account Agreement.

Where Buy Now is used, Springrock's role is limited to operating the platform and facilitating the payment through Stripe. The record itself is still sold by the seller, and responsibility for delivering it, and for any return, remains theirs.

6. Third-party services

The Services integrate with third-party platforms — including payment, email and, in Statify's case, the accounts and devices you choose to connect. Your use of those platforms is governed by their own terms. We are not responsible for their availability, accuracy or the way they handle your data once it is in their hands. If a third party changes or withdraws its API, a related feature may change or stop working.

7. Availability and support

We work hard to keep the Services available and monitored, but we do not offer a guaranteed uptime commitment unless we have agreed one with you in writing. We may carry out maintenance, and may change or discontinue features. If we discontinue a product entirely, we will give reasonable notice and a way to export your data.

8. Intellectual property

The Services, including their software, design and branding, are owned by Springrock Ventures LLC and protected by intellectual property law. These Terms do not transfer any of our intellectual property to you. Your subscription grants you a limited, non-exclusive, non-transferable right to use the Services while it is active.

9. Disclaimers

The Services are provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

Finvo is an invoicing and expense-tracking tool. It is not accounting, tax or legal advice, and it is not a substitute for a qualified professional. Statify presents data from services you connect; we do not warrant that data's accuracy, and nothing in Statify is medical or financial advice.

10. Limitation of liability

To the fullest extent permitted by law, Springrock Ventures LLC will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill.

Our total liability arising out of or relating to the Services is limited to the greater of (a) the amount you paid us in the twelve months before the event giving rise to the claim, or (b) one hundred US dollars ($100).

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

11. Indemnity

You agree to indemnify and hold harmless Springrock Ventures LLC against claims, damages and reasonable costs arising from your content, your use of the Services, or your breach of these Terms or of applicable law.

12. Termination

You may stop using the Services and close your account at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if continuing to provide the Services to you would create a security or legal risk. On termination, your right to use the Services ends; sections that by their nature should survive will survive.

13. Changes to these Terms

We may update these Terms. If we make a material change we will update the date at the top of this page and, where the change significantly affects your rights, notify account holders by email. Continuing to use the Services after a change takes effect means you accept the updated Terms.

14. Governing law

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules. The courts located in California will have exclusive jurisdiction over any dispute arising from them, except that either party may seek injunctive relief in any court of competent jurisdiction.
